Definitions

“Aggregated Data” means data and information related to or derived from Customer Data...

“Authorised User” means Customer's employees, consultants, contractors, and agents...

“Services” means TODAY's proprietary hosted software platform...

Access and Use

1. Provision of Access

Subject to and conditioned on Customer's compliance with the terms and conditions of this Agreement, TODAY will make available to Customer during the Subscription Period access to and use of the Services, solely for use by Authorised Users.

2. Documentation License

TODAY hereby grants to Customer a non-exclusive, non-transferable licence to use the Documentation during the Subscription Period solely for Customer's internal business purposes.

3. Use Restrictions

Customer shall not use the Services for any purposes beyond the scope of the access granted in this Agreement.

Customer Obligations

Customer is responsible for all uses of the Services and Documentation by Authorised Users.

Fees and Payment

Customer shall pay TODAY the fees set forth in the applicable Order without offset or deduction.

Confidentiality

Each Party agrees to maintain the confidentiality of Confidential Information disclosed by the other Party.

Intellectual Property

All intellectual property rights in the Services and Documentation are owned by TODAY.

Term and Termination

This Agreement commences on the Effective Date and continues until terminated. Either Party may terminate upon written notice if the other Party materially breaches.

Limitation of Liability

IN NO EVENT WILL TODAY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED THE AMOUNTS PAID BY CUSTOMER IN THE TWELVE MONTHS PRECEDING THE CLAIM.

General Provisions

This Agreement constitutes the entire agreement between the Parties. This Agreement is governed by the laws of Denmark.
